The asset-based fees paid to the Adviser are generally up to 0.85% per annum of the assets managed by the Adviser and payable quarterly in arrears or in advance, although management fees can vary and may be payable more or less frequently within the discretion of the Adviser. The Adviser also has charged and may continue to charge a flat or minimum management fee on a quarterly basis in advance or in arrears that may exceed 0.85% per annum of the assets managed by the Adviser.”
