Ohio LLC Annual Report

Updated September 5, 2026. Quick answer: Ohio requires no periodic report for LLCs at all. none, Ohio requires no annual or biennial report from LLCs.

Whether Ohio requires one, and how often

Ohio does not require LLCs to file a periodic report with the Secretary of State at all. none, Ohio requires no annual or biennial report from LLCs. That is not the same as owing nothing every year; read the next section before assuming there is no recurring filing.

When it’s due

Ohio’s LLC statute (Ohio Revised Limited Liability Company Act, Ohio Rev. Code Chapter 1706) contains no annual, biennial, or periodic report requirement for LLCs, matching the hub table’s own no-report classification. Verified by fetching the full official section index of Chapter 1706 on codes.ohio.gov (all ~70 sections) and finding no periodic-report section; the only report-adjacent hit is an unrelated provision about reliance on third-party reports (§1706.331). ohiosos.gov itself returned HTTP 403 to every automated fetch attempt this session, so it is not cited as a source here. (Ohio Rev. Code Chapter 1706 (Ohio Revised Limited Liability Company Act))

What it costs

none, Ohio requires no annual or biennial report from LLCs (source, read 2026-08-06).

If you’d rather not be your own registered agent

There is no periodic report to file in Ohio, so a report-filing service has nothing to do for you on this page. The Bizee product that fits here is registered-agent service, at $149 a year on its own, or free for the first year if you form an LLC through them (Bizee’s own pricing page, read September 7, 2026). What Ohio asks of an agent is covered on Ohio’s registered agent requirements.

Bizee’s BBB rating, verified directly against BBB’s own listing on September 2, 2026: a C, not accredited. BBB’s own finding: the business “has failed to resolve underlying cause(s) of a pattern of complaints”, with 83 complaints filed. Most complaints we found described difficulty canceling recurring services and strict refund policies, worth knowing before you hand over a card for the year-two renewal. Check BBB’s current listing yourself before you buy; a rating we didn’t just verify is worse than none.

What happens if you miss it

not applicable, no periodic report provision exists in Ohio’s LLC Act to attach a late penalty to

What eventually happens if it stays unfiled: not applicable, no report-based administrative dissolution trigger exists in Ohio’s LLC Act; a lapsed statutory agent (Ohio Rev. Code §1706.09) has its own separate consequence, not covered here

Where to file

There is no filing portal to link, because Ohio requires no periodic report.

What this page does not answer

State income tax, franchise tax and federal (IRS) filing obligations are separate from this report and follow their own deadlines and rules. This page does not source those. We have the state periodic-report answer at primary and nothing else.

The annual/biennial report fee above is a recurring cost of keeping the LLC active, separate from what it cost to form. See what an LLC costs in Ohio for the full cost picture.
