To dissolve an LLC in Iowa you file the Statement of Dissolution (no state-prescribed form or form number) — drafted to meet Iowa Code § 489.702 or filed online via Fast Track Filing (‘Entity Dissolution’); two-step: an optional Statement of Termination (also § 489.702) is filed after winding up, and it can be filed online or on paper. Fee: $5 (Statement of Dissolution); the follow-on Statement of Termination is another $5. Iowa requires no tax-clearance certificate to accept the filing. Until that filing is accepted the LLC still legally exists — and whatever Iowa charges an LLC each year keeps accruing against it.

The SOS Business Entity Forms and Fees page links only the code section for these filings, and states: ‘If only the code section is linked, that will be a document you will need to draft; the document you draft must meet the requirements laid out in the given section of the Iowa Code.’ Both the Statement of Dissolution and Statement of Termination carry the ** marker = filable online through Fast Track Filing (filings.sos.iowa.gov).
On the fee. SOS fee schedule (read directly from sos.iowa.gov): ‘Statement of Dissolution – $5 … Statement of Termination – $5’, both citing Iowa Code 489.702. Same fee online or drafted-paper.
Tax clearance in Iowa
No tax-clearance certificate is required to file in Iowa. That is not the same as owing nothing — it means the state will accept the filing without a revenue-agency sign-off first.
No tax clearance requirement appears on the SOS fee schedule, in the Fast Track Filing help-center dissolution instructions, or in Iowa Code § 489.702 — the SOS filing is name + statement of dissolution only. Tax wind-down is handled separately with the Iowa Department of Revenue.
Do not just walk away
Closing the business is not closing the entity. Biennial report not delivered within 60 days after due (or SOS fees/taxes/penalties unpaid 60 days) → administrative-dissolution proceeding; after the SOS notice the LLC has 60 days to cure before a declaration of dissolution issues; the LLC then exists only to wind up; reinstatement via application plus the delinquent report
