Updated August 10, 2026. Quick answer. Forming an LLC in Iowa costs $50 to file, and an ongoing report requirement ($30 online / $45 by paper, filed BIENNIALLY in odd-numbered years). Five-year total: At least $140 over five years — one or more components (commonly the franchise/minimum tax) is unverified, so treat this as a floor, not a total.
What it actually costs
| Item | Amount |
|---|---|
| Formation filing fee | $50 |
| Annual/biennial report | $30 online / $45 by paper, filed BIENNIALLY in odd-numbered years |
| Franchise / minimum tax | none found for LLCs in the sources searched |
| Publication requirement | No newspaper publication requirement was found. |
Five-year cost of ownership: At least $140 over five years — one or more components (commonly the franchise/minimum tax) is unverified, so treat this as a floor, not a total. Publication cost is excluded from this figure — it’s county-driven where it applies, not state-driven, so a single number would be wrong for most filers.
Expedited filing: $50 two business days; $15 five business days; $250 same-day preclearance
The trap worth knowing before you file
Fee amounts read from the Secretary of State’s own forms-and-fees page, which cites the Iowa Code section beside each filing. Expedite tiers from https://sos.iowa.gov/businesses/preclearance-and-expedited-services . The fee statute itself (Iowa Code § 489.117) was not separately opened; the agency page and the code citations it prints were treated as sufficient, and no disagreement was observed between them.

If the LLC already exists somewhere else
Everything above prices forming a new Iowa LLC. A company that already exists in another state does not have to be dissolved and re-formed: Iowa takes it in as the same legal entity by the route its own code captions domestication, Iowa Code § 489.1051(2), and the entity-law filing fee for it is $50 — a separate filing from the formation costs above. Going the other way, an Iowa LLC may leave for another US state under Iowa Code § 489.1051(1). Either way the move needs both ends to allow it — the state being left as well as the state being joined — which is where most published advice goes wrong.
