Updated August 10, 2026. Quick answer. Forming an LLC in Oregon costs $100 to file, and an ongoing report requirement ($100). Five-year total: At least $600 over five years — one or more components (commonly the franchise/minimum tax) is unverified, so treat this as a floor, not a total.

What it actually costs

Five-year cost of ownership: At least $600 over five years — one or more components (commonly the franchise/minimum tax) is unverified, so treat this as a floor, not a total. Publication cost is excluded from this figure — it’s county-driven where it applies, not state-driven, so a single number would be wrong for most filers.

The trap worth knowing before you file

oregon.public.law reproduces the verbatim codified text and is typed statute-tier per the contract’s rule 2 (and consistently with the colorado/oregon.public.law precedent noted there). Also read https://oregon.public.law/statutes/ors_63.007 and https://oregon.public.law/statutes/ors_63.787, plus the SOS renewal page https://sos.oregon.gov/business/register/Pages/renewal-help.aspx (official) for the notice-mailing practice. Access note: https://sos.oregon.gov/business/Pages/business-fee-schedule.aspx is 404 — the Oregon SOS publishes no consolidated business fee schedule at that path, which is

If the LLC already exists somewhere else

Everything above prices forming a new Oregon LLC. A company that already exists in another state does not have to be dissolved and re-formed: Oregon takes it in as the same legal entity by the route its own code captions conversion, ORS 63.470(1)(a), and the entity-law filing fee for it is $100 as the agency last published it (that fee page carries no date) — a separate filing from the formation costs above. Going the other way, an Oregon LLC may leave for another US state under ORS 63.470(2). Either way the move needs both ends to allow it — the state being left as well as the state being joined — which is where most published advice goes wrong.

What letting it lapse costs in Oregon. The catch-up bill is only half the story — in Oregon administrative dissolution does not end the company’s existence, so the name is never released; the five-year window is the thing to watch. The figures, and the statute they come from, are on reinstating an Oregon LLC.

Moving an LLC you already own is a different question from what it costs to form a new one here: Oregon’s statute calls the mechanism conversion, at ORS 63.470(1)(a). See how to move an LLC to Oregon.

Electing S-corp status for this LLC changes the tax picture too. Oregon charges every S-corp a mandatory $150 minimum excise tax an LLC never owes. See what Oregon charges at the entity level.
