Updated August 10, 2026. Quick answer. Forming an LLC in New Hampshire costs $100 (certificate of formation) to file, and an ongoing report requirement ($100 annually, due between January 1 and April 1; $50 additional late fee after April 1). Five-year total: At least $600 over five years — one or more components (commonly the franchise/minimum tax) is unverified, so treat this as a floor, not a total.
What it actually costs
| Item | Amount |
|---|---|
| Formation filing fee | $100 (certificate of formation) |
| Annual/biennial report | $100 annually, due between January 1 and April 1; $50 additional late fee after April 1 |
| Franchise / minimum tax | not verified |
| Publication requirement | No newspaper publication requirement was found. |
Five-year cost of ownership: At least $600 over five years — one or more components (commonly the franchise/minimum tax) is unverified, so treat this as a floor, not a total. Publication cost is excluded from this figure — it’s county-driven where it applies, not state-driven, so a single number would be wrong for most filers.
The trap worth knowing before you file
Read from the merged full text of RSA ch. 304-C on the General Court’s official site. CAUTION FOR FUTURE RUNS: the individual-section URL pattern is unreliable here – https://www.gencourt.state.nh.us/rsa/html/XXVIII/304-C/304-C-181.htm returns ‘Service of Process on Registered Foreign Limited Liability Companies’, not a fee section; the caption of what comes back must be read. AGENCY-VS-STATUTE COMPARISON NOT POSSIBLE: the NH SOS fee page 403’d, so the statute’s amounts stand uncorroborated by the agency’s own schedule.

If the LLC already exists somewhere else
Everything above prices forming a new New Hampshire LLC. A company that already exists in another state does not have to be dissolved and re-formed: New Hampshire takes it in as the same legal entity by the route its own code captions domestication, RSA 304-C:205, I, and New Hampshire does not publish that filing as a single fee, so this page gives no number for it — it is in any case separate from the formation costs above. Going the other way, a New Hampshire LLC may leave for another US state under RSA 304-C:205, II; RSA 304-C:208. Either way the move needs both ends to allow it — the state being left as well as the state being joined — which is where most published advice goes wrong.

What letting it lapse costs in New Hampshire. The catch-up bill is only half the story — in New Hampshire three years is not a deadline but a fee switch — $135 before, $500 and newspaper publication after, and both relate back in full. The figures, and the statute they come from, are on reinstating a New Hampshire LLC.

Electing S-corp status for this LLC changes the tax picture too. New Hampshire’s Business Enterprise Tax statute names S-corps specifically when it defines the taxable dividends base. See what New Hampshire charges at the entity level.
