What the address rule requires
The registered office must be located at a physical street address where process may be personally served; it may not be a commercial mail receiving agency, a mail forwarding business, or a virtual office (ORS 63.111).
Who can serve as your registered agent
An individual who resides in Oregon and whose business office is the registered office, or a domestic or foreign LLC, corporation, professional corporation, or nonprofit corporation authorized to do business in Oregon whose business office is the registered office (ORS 63.111). The statute’s enumerated categories do not include the LLC naming itself.
What happens if you don’t have one
The Secretary of State is agent for service of process whenever the LLC fails to appoint or maintain a registered agent, or the agent cannot with reasonable diligence be found at the registered office (ORS 63.121(2)). Lack of a registered agent or registered office is itself a standalone ground for administrative dissolution (ORS 63.647(4)), as is failure to notify the state of an agent/office change or resignation (ORS 63.647(5)). If the LLC does not correct each ground, or show to the Secretary of State’s satisfaction that it does not exist, within 45 days after notice, the Secretary of State dissolves the LLC (ORS 63.651).
