Updated August 10, 2026. Quick answer. Forming an LLC in Wyoming costs $100 to file, and an ongoing report requirement ($60 minimum, or $0.0002 per dollar of assets located and employed in Wyoming, whichever is greater). Five-year total: $400 over five years, every component verified.

What it actually costs

ItemAmount
Formation filing fee$100
Annual/biennial report$60 minimum, or $0.0002 per dollar of assets located and employed in Wyoming, whichever is greater
Franchise / minimum taxnone separate from the annual report license tax
Publication requirementNo newspaper publication requirement was found.

Five-year cost of ownership: $400 over five years, every component verified. Publication cost is excluded from this figure — it’s county-driven where it applies, not state-driven, so a single number would be wrong for most filers.

Expedited filing: $1,400 same business day; $700 next business day

The trap worth knowing before you file

All three figures come from the Secretary of State’s own PDFs, downloaded and read directly: LLC-ArticlesOrganization.pdf (formation fee, annual report due date), General/ARWorksheet.pdf (license-tax formula and the $60 floor, plus the license tax rules), General/ExpeditedFilingsCoverSheet.pdf (expedite tiers). Access note: sos.wyo.gov/Business/Filing.aspx, /Business/LimitedLiabilityCompany.aspx and /Business/AnnualReport.aspx all 404; the forms index at /Forms/Default.aspx?root=Business renders its links through JavaScript, so the PDF paths were extracted from the raw HTML. https://sos

If the LLC already exists somewhere else

Everything above prices forming a new Wyoming LLC. A company that already exists in another state does not have to be dissolved and re-formed: Wyoming takes it in as the same legal entity by the route its own code captions domestication, Wyo. Stat. § 17-29-1012, and the entity-law filing fee for it is $100 — a separate filing from the formation costs above. Going the other way, a Wyoming LLC may leave for another US state under Wyo. Stat. § 17-29-1011. Either way the move needs both ends to allow it — the state being left as well as the state being joined — which is where most published advice goes wrong.

If the state has already forfeited it. Wyoming does not administratively dissolve an LLC, it forfeits it and calls the company defunct — and you have two years to revive it. Which subsection caught you decides whether you owe a $250 penalty: see reviving a Wyoming LLC.

Moving an LLC you already own is a different question from what it costs to form a new one here: Wyoming’s statute calls the mechanism domestication, at Wyo. Stat. § 17-29-1012. See how to move an LLC to Wyoming.
