What happens if you miss it
Wyoming does not impose a separate dollar late fee the moment the due date is missed; the entity becomes delinquent the day after its due date. If the lapse continues to forfeiture, the Secretary of State’s fee schedule sets a $100.00 Reinstatement for Tax fee for LLCs (versus $350.00 if the lapse was instead for want of a registered agent). What eventually happens if it stays unfiled: If an LLC fails to pay the annual report license fee, it is deemed to be transacting business without authority and to have forfeited its franchises/rights; after notice, unless compliance occurs within 60 days, the LLC is deemed defunct and forfeits its articles of organization. Reinstatement is available within 2 years of forfeiture; Wyoming statutes do not allow reinstatement after that. (Wyoming Statutes W.S. 17-29-705(b) (Wyoming Limited Liability Company Act)) “If any limited liability company has failed to pay the fee required by W.S. 17-29-210 or any penalties imposed under W.S. 17-28-109, it shall be deemed to be transacting business within this state without authority and to have forfeited any franchises, rights or privileges acquired under the laws thereof… Unless compliance is made within sixty (60) days of the date of notice the limited liability company shall be deemed defunct and to have forfeited its articles of organization or certificate of authority acquired under the laws of this state.”
