Is J.P. Morgan Private Bank a Fiduciary? What Its Own Form CRS Says (2026)

Guides › Financial Advisor Fees

Updated September 22, 2026. Quick answer: It depends which hat J.P. Morgan Private Bank is wearing. As your investment adviser, J.P. Morgan Private Bank owes you a fiduciary duty under the Investment Advisers Act of 1940. As your broker-dealer, J.P. Morgan Private Bank owes you Regulation Best Interest, a real and enforceable standard, but not a fiduciary duty. J.P. Morgan Private Bank’s own Form CRS states: “When you receive investment advice from us, we are subject to an ongoing duty of loyalty and care and must not place our interests ahead of yours.”

How it’s registered

From J.P. Morgan Securities LLC: Client Relationship Summary (June 2025): “J.P. Morgan Securities LLC is registered with the SEC as both a broker-dealer and an investment adviser, though bank-managed trust and fiduciary services offered under the J.P. Morgan Private Bank brand are provided through the separately regulated JPMorgan Chase Bank, N.A., not through this SEC-registered entity.”

J.P. Morgan Securities LLC’s own Form CRS states verbatim: “Investment advisory services are offered through J.P. Morgan Securities LLC and bank-managed investment advice is offered through JPMorgan Chase Bank, N.A. This document describes only the investment advisory services offered through J.P. Morgan Securities LLC.” JPMorgan Chase Bank, N.A. is an OCC-regulated national bank, not SEC-registered as an investment adviser. The phrase “Private Bank” never appears in the CRS body text itself; IAPD does list it as a registered other-name on CRD 79. The client-facing “J.P. Morgan Private Bank” brand spans two legal entities under two different regulators: CRD 79 / J.P. Morgan Securities LLC (SEC dual registrant, covered here) for brokerage and investment advisory services, and JPMorgan Chase Bank, N.A. (OCC-regulated, not an SEC-registered adviser) for bank-managed/trust/fiduciary account services. This page covers only the SEC-registered JPMS side.

The standard of conduct, in its own words

“When you receive investment advice from us, we are subject to an ongoing duty of loyalty and care and must not place our interests ahead of yours.”

On commissions: “In certain cases, our financial professionals receive a monthly minimum salary, along with product-related revenue in the form of commissions and advisory fees.”

What this means for what you pay

Fiduciary status is one input, not the whole picture. J.P. Morgan Private Bank discloses a published fee that runs up to $10,000 a year on a $500,000 account (the published maximum); see the full dollar breakdown from J.P. Morgan Private Bank’s own fee disclosure before deciding whether the standard of conduct here changes your answer.

If the answer above changes your mind about staying, read the general mechanics of switching financial advisors, or use a dated termination letter once you decide.
