Fee: $100 (rises to $125 effective 10/1/2026 under Act 921 of the 2026 Regular Session). Louisiana requires no tax-clearance certificate to accept the filing. Until that filing is accepted the LLC still legally exists — and whatever Louisiana charges an LLC each year keeps accruing against it.

Paper filing must be sworn before a notary by ALL members (or all organizers if no membership interests were issued); online geauxBiz filing replaces notarization with emailed authorization from each member/organizer. If the LLC has debts, assets, or immovable property, the short form is unavailable and a long-form dissolution (winding up/liquidation under R.S. 12:1334 et seq.; SOS fee-schedule line ‘Dissolutions’ $100) is required — the SOS FAQ says ‘consult an attorney’ for that route.

Currently-operative fee schedule (sos.la.gov/business-services/forms-fee-schedule): ‘Affidavit to Dissolve-Louisiana Limited Liability Company #368 — $100’; long-form ‘Amended Articles, Mergers, Dissolutions, Certificate of Correction — $100.’ The SOS has posted a superseding schedule (static.sos.la.gov/shared/fee_changes_2026.pdf) raising both to $125 effective 10/1/26 — both blocks were read; the $100 figure is the one operative on the retrieval date. Expedite: currently $30 (24-hr) / $50 (2-4 hr) per the SS984 transmittal sheet; the 10/1/26 schedule lists $35/$60.
Tax clearance in Louisiana
No tax-clearance certificate is required to file in Louisiana. That is not the same as owing nothing — it means the state will accept the filing without a revenue-agency sign-off first.
Negative verified from the SOS’s own Form SS368 instructions (‘1. File this form, along with the appropriate filing fee… 2. You will receive a Certificate of Dissolution.’) and the SOS Business Filings FAQ — neither conditions the LLC affidavit filing on a Department of Revenue clearance. (LDR’s own FAQ imposes a filed-up-to-date expectation on CORPORATIONS dissolving their charter; no pre-clearance document is required for the LLC affidavit route.) Do not just walk away
Closing the business is not closing the entity. Revocation of articles of organization after THREE consecutive years of unfiled annual reports (30-day notice to registered agent first); meanwhile ‘not in good standing’ status bars contracting with the state
R.S. 12:1308.2: ‘The secretary of state shall revoke the articles of organization of a domestic limited liability company if it fails to file an annual report for three consecutive years’; SOS must give 30 days’ written notice to the last registered agent before revoking. An LLC delinquent on its annual report (R.S. 12:1308.1, $30/yr) is ‘not in good standing’ and prohibited from commercial business with the state/its agencies. After revocation the name is protected from reuse for 3 years; reinstatement requires a reinstatement filing with fees the SOS FAQ describes as ‘significantly higher’ than annual-report costs.
Closing the tax accounts
File final Louisiana returns and close LDR tax accounts (sales, withholding, income/franchise as applicable) via LaTAP; LDR’s dissolution FAQ expects all returns filed and liabilities paid through the closure date

The SOS affidavit itself requires attesting the LLC ‘owes no debts,’ which includes tax debts.
