When it’s due

Virginia LLC annual registration fee is due annually on the last day of the twelfth month following the month in which the LLC was organized (i.e., the anniversary month). (Code of Virginia § 13.1-1062(A))

What happens if you miss it

A domestic or foreign LLC that fails to pay its annual registration fee on time incurs a flat $25 penalty added to the fee due. (Code of Virginia § 13.1-1064(A))

What eventually happens if it stays unfiled: If the LLC does not pay its annual registration fee by the last day of the third month following the fee’s due date, the State Corporation Commission automatically cancels the LLC’s existence as of that day. (Code of Virginia § 13.1-1050.2) “Whether or not the notice described in subsection B of § 13.1-1064 is mailed, if any limited liability company fails to pay its annual registration fee on or before the last day of the third month immediately following its annual registration fee due date each year, the existence of the limited liability company shall be automatically canceled as of that day.”
