Updated August 10, 2026. Quick answer. Forming an LLC in Virginia costs $100 to file, and an ongoing report requirement ($50 annual registration fee (no informational report for LLCs)). Five-year total: $350 over five years, every component verified.
What it actually costs
| Item | Amount |
|---|---|
| Formation filing fee | $100 |
| Annual/biennial report | $50 annual registration fee (no informational report for LLCs) |
| Franchise / minimum tax | none |
| Publication requirement | No newspaper publication requirement was found. |
Five-year cost of ownership: $350 over five years, every component verified. Publication cost is excluded from this figure — it’s county-driven where it applies, not state-driven, so a single number would be wrong for most filers.
Expedited filing: Next day $50 or $100; same day $200 — online filings only
The trap worth knowing before you file
Filing and registration fees are set in the Code of Virginia and were read there; the SCC’s own schedules at https://www.scc.virginia.gov/businesses/forms-and-fees/virginia-limited-liability-companies/ agree with the statute on every figure checked. Expedite tiers are agency-published only (https://www.scc.virginia.gov/businesses/about-the-clerks-office/expedited-services/) and have no statutory counterpart read here. https://www.scc.virginia.gov/pages/Business-Entity-Fees and /pages/Fee-Schedule-LLC both 404; the working path is /businesses/forms-and-fees/.

If the LLC already exists somewhere else
Everything above prices forming a new Virginia LLC. A company that already exists in another state does not have to be dissolved and re-formed: Virginia takes it in as the same legal entity by the route its own code captions domestication, Va. Code § 13.1-1075(A), and the entity-law filing fee for it is $100 — a separate filing from the formation costs above. Going the other way, a Virginia LLC may leave for another US state under Va. Code § 13.1-1075(B). Either way the move needs both ends to allow it — the state being left as well as the state being joined — which is where most published advice goes wrong.
