What eventually happens if it stays unfiled: Grounds for administrative dissolution arise if the biennial report is not delivered within 60 days after it is due; dissolution itself requires a further 60-day cure period after written notice. (Iowa Code §489.708(2), §489.709(2)) “If the limited liability company does not correct each ground for dissolution… within sixty days after service of the notice… the secretary of state shall administratively dissolve the company”
