Updated August 12, 2026. Quick answer. To dissolve an LLC in Georgia you file the Certificate of Termination, and it can be filed online or on paper. Fee: $0 online; $10 paper service charge. Georgia requires no tax-clearance certificate to accept the filing. Until that filing is accepted the LLC still legally exists — and whatever Georgia charges an LLC each year keeps accruing against it.

Per SOS Business FAQ, the entity ‘must be current on all annual registrations due’ before filing a certificate of termination; an administratively dissolved LLC must reinstate before it can voluntarily terminate.

Corporations Division Filing Fees schedule effective September 6, 2025 (official PDF, Rev. 8/2025): ‘Certificate of Termination (LLC): No Fee’ online ($0); paper filing +$10.00 service charge = $10.00. SOS FAQ confirms ‘There is an additional $10 service charge if filing in paper format.’

Tax clearance in Georgia

No tax-clearance certificate is required to file in Georgia. That is not the same as owing nothing — it means the state will accept the filing without a revenue-agency sign-off first.

Negative verified from the SOS’s own filing template listing, fee schedule, and Business Division FAQ, none of which impose a Department of Revenue clearance before filing a certificate of termination. The only SOS precondition stated is being current on annual registrations. O.C.G.A. 14-11-610 conditions the filing only on truthful statements that debts are paid/provided for and no actions are pending.

Do not just walk away

Closing the business is not closing the entity. Administrative dissolution when the annual registration ($50/yr) is more than 60 days overdue; entity may then only wind up; name protected 5 years

O.C.G.A. 14-11-603: the Secretary of State may administratively dissolve an LLC that ‘does not deliver its annual registration… within 60 days after it is due,’ or that lacks a registered agent/office for 60+ days. SOS FAQ: an administratively dissolved entity ‘continues its corporate existence but may not carry on any business except that necessary to wind up and liquidate.’ The name of an administratively dissolved entity is reserved for it for 5 years (SOS FAQ; O.C.G.A. 14-2-1422 by analogy for LLCs via 14-11-603). Reinstatement (with fees) is required before any voluntary termination.
