Updated August 12, 2026. Quick answer. To dissolve an LLC in Florida you file the Articles of Dissolution for a Limited Liability Company (Sunbiz e-file, and it can be filed online or on paper. Fee: $25.00. Florida requires no tax-clearance certificate to accept the filing. Until that filing is accepted the LLC still legally exists — and whatever Florida charges an LLC each year keeps accruing against it.

Tax clearance in Florida

No tax-clearance certificate is required to file in Florida. That is not the same as owing nothing — it means the state will accept the filing without a revenue-agency sign-off first.

Negative verified from the Division of Corporations’ own dissolution instructions (dos.fl.gov/sunbiz/manage-business/dissolve-withdraw-business/efile-llc-dissolution/), which contain no tax-clearance prerequisite; Florida law imposes no Department of Revenue clearance before filing LLC articles of dissolution. Fla. Stat. 605.0707 conditions filing only on the articles’ content and fees.

Do not just walk away

Closing the business is not closing the entity. $400 late fee on the annual report after May 1; administrative dissolution on the fourth Friday of September if the report is not filed by the third Friday of September

Annual report ($138.75) due by May 1 each year; ‘a $400 late fee’ applies after 11:59 PM EST May 1 (Sunbiz annual report instructions). Fla. Stat. 605.0714(1): the department may dissolve an LLC that fails to ‘deliver its annual report… by 5:00 p.m. Eastern Time on the third Friday in September,’ and ‘Administrative dissolution… for failure to file an annual report must occur on the fourth Friday in September of each year.’ Reinstatement requires the reinstatement fee plus all past-due annual report fees. Florida’s official sources state no personal liability arising merely from administrative dissolution.

Closing the tax accounts

Notify FL Dept. of Revenue of closure and file a final return for each registered tax type within 15 days

Per floridarevenue.com: if you close your business you must notify the Department (quickest via floridarevenue.com/taxes/updateaccount), ‘file a final return and pay all applicable taxes due within 15 days after closing,’ for each tax type (e.g., sales and use, reemployment tax), otherwise the Department mails a Notice of Delinquency. Florida has no state personal income tax; default pass-through LLCs file no FL corporate income return.
