What it actually costs
| Item | Amount |
|---|---|
| Formation filing fee | $200 |
| Annual/biennial report | $9 biennial statement |
| Franchise / minimum tax | $25–$4,500 annual NYS filing fee (Form IT-204-LL), based on prior-year New York source gross income |
| Publication requirement | REQUIRED — 6 consecutive weeks in 2 county-designated newspapers, then a $50 Certificate of Publication. The $50 is the ONLY verifiable figure; the newspaper cost is county-driven and no official source publishes a range. |
Five-year cost of ownership: $352 over five years, every component verified. Publication cost is excluded from this figure — it’s county-driven where it applies, not state-driven, so a single number would be wrong for most filers.
Expedited filing: $25 24-hour; $75 same-day; $150 2-hour

If the LLC already exists somewhere else
Everything above prices forming a new New York LLC. A company that already exists in another state cannot become a New York one: New York is one of the eight jurisdictions with no jurisdiction-change route in either direction, and there is no section to cite, because nothing in the code read permits it. The substitute is a merger — form a New York LLC, then merge the older company into it, under NY LLC Law § 1001(b), certificate of merger under § 1003 ($60 to file). A merger produces a surviving entity rather than a continuation, so it is genuinely not the same thing as domestication, but it keeps far more alive than dissolving and re-forming does.

Skipping the biennial statement is cheaper than you think. New York never dissolves an LLC over it; the whole cure is the $9 statements you missed, with no late-fee schedule. What it does cost you is a clean Certificate of Status — see the New York non-answer.
Moving an LLC you already own is a different question from what it costs to form a new one here: New York has no statute that lets an out-of-state LLC become a New York LLC while staying the same entity, and the route that works is a merger. See why you cannot move an LLC to New York, and the merger route.
Electing S-corp status for this LLC changes the tax picture too. New York requires its own election, Form CT-6, and skipping it means full C-corp taxation. See what New York charges at the entity level.
