Updated September 4, 2026. Quick answer: a dissolved Missouri corporation reinstates by filing Application for Reinstatement (SOS Corporations Division), filed with a Certificate of Tax Clearance from the Dept. of Revenue (requested on Form 943) under RSMo § 351.488 (Reinstatement following dissolution), applying to a corporation dissolved under § 351.486 for $50, with no statutory deadline to do it.
If you’d rather have the reinstatement filed for you
Bizee can prepare and file the Missouri reinstatement paperwork described above on your behalf. State filing fees and any back taxes owed are separate, and you pay those directly either way.
Bizee’s BBB rating, verified directly against BBB’s own listing on September 2, 2026: a C, not accredited. BBB’s own finding: the business “has failed to resolve underlying cause(s) of a pattern of complaints,” with 83 complaints filed. Most complaints we found described difficulty canceling recurring services and strict refund policies, worth knowing before you hand over a card for the year-two renewal. Check BBB’s current listing yourself before you buy; a rating we didn’t just verify is worse than none.

The filing, and what Missouri calls it
A corporation administratively dissolved under §351.486 may apply to the Secretary of State for reinstatement. The application must recite the dissolution date, state the grounds have been cured, confirm the name is compliant, include a Dept. of Revenue certificate that all taxes (including unemployment liabilities) are paid or under a payback plan, and be accompanied by the statutory fee; each overdue annual registration report must also be filed.
How long you have to reinstate
Missouri sets no deadline for reinstating a dissolved corporation. The full verbatim text of RSMo 351.486 and 351.488 contains no time limit on when a corporation may apply for reinstatement. Several commercial compliance sites claim a 10-year limit; that figure could not be verified against the primary statute text and appears unsupported. That does not mean waiting is free; back fees and penalties keep accruing the whole time the entity sits dissolved. (RSMo § 351.488)
What you must pay before it goes through
Missouri will not reinstate the corporation until every year it sat delinquent is paid for. Application must include a Dept. of Revenue certificate that all taxes are paid (or a payback plan arranged), and must be accompanied by a $50.00 reinstatement fee plus any delinquent fees, penalties, and charges that might have accrued. (RSMo § 351.488(1)(4)-(5))
Whether your name is still yours
Your original name is not guaranteed to still be yours. Statute expressly contemplates the original name having been reissued to another entity before the reinstatement application is filed; in that event the corporation may elect to reinstate under a new compliant name. Check Missouri’s business-name database before assuming the reinstatement filing will go through under the old name. (RSMo § 351.488(5))
What the filing costs
Missouri’s Application for Reinstatement (SOS Corporations Division), filed with a Certificate of Tax Clearance from the Dept. of Revenue (requested on Form 943) carries a $50 filing fee. $50 statutory reinstatement fee plus delinquent annual-report fees/penalties/charges (variable, not fixed).
What this page does not answer
Reinstating the entity at the state level and squaring things up with the IRS are two separate processes. Late federal returns, penalty abatement requests, and reinstating a lapsed EIN’s associated accounts are governed by federal law, not by Missouri’s corporation statute, and this page does not source them. We have the state-filing answer at primary and the federal-cleanup answer not at all.
This page covers a for-profit business corporation. If you are reinstating an LLC in Missouri instead, the filing, fee and statute are different: see reinstating an LLC in Missouri.
