Updated August 10, 2026. Quick answer. Forming an LLC in Pennsylvania costs $125 to file, and an ongoing report requirement ($7). Five-year total: At least $160 over five years — one or more components (commonly the franchise/minimum tax) is unverified, so treat this as a floor, not a total.

What it actually costs

ItemAmount
Formation filing fee$125
Annual/biennial report$7

Publication requirementNo newspaper publication requirement was found.

Five-year cost of ownership: At least $160 over five years — one or more components (commonly the franchise/minimum tax) is unverified, so treat this as a floor, not a total. Publication cost is excluded from this figure — it’s county-driven where it applies, not state-driven, so a single number would be wrong for most filers.

Expedited filing: $100 same-day; $300 3-hour; $1,000 1-hour

The trap worth knowing before you file

ACCESS ROUTE worth keeping: legis.state.pa.us now 301-redirects to palegis.us, and the palegis.us HTML statute viewer (txtType=HTM) serves navigation chrome only — no statutory text — to both the fetch tool and curl. The working route is the SAME URL with txtType=PDF, which returns a real PDF that pypdf extracts cleanly. § 146 came back as 3,409 characters and § 153 as 8,426, both complete. Fee statute URL: https://www.palegis.us/statutes/consolidated/view-statute?txtType=PDF&ttl=15&div=0&chapter=1&section=153&subsctn=0. Entire row is statute-tier from the General Assembly’s own site.

If the LLC already exists somewhere else

Everything above prices forming a new Pennsylvania LLC. A company that already exists in another state does not have to be dissolved and re-formed: Pennsylvania takes it in as the same legal entity by the route its own code captions domestication, 15 Pa.C.S. § 371(b), and the entity-law filing fee for it is $70 — a separate filing from the formation costs above. Going the other way, a Pennsylvania LLC may leave for another US state under 15 Pa.C.S. § 371(a). Either way the move needs both ends to allow it — the state being left as well as the state being joined — which is where most published advice goes wrong.
