What happens if you miss it
The Secretary of State assesses a flat administrative late fee of $50 on any LLC delinquent in filing/paying its annual report ($100 if delinquent on a biennial report). (WV Code §59-1-2a(h)(1)(A))
What eventually happens if it stays unfiled: Failure to timely file the annual/biennial report is a statutory ground for administrative dissolution: if the report is not delivered within 60 days after its due date, dissolution proceedings may begin. The Secretary of State must first serve certified-mail notice; the LLC then has 60 days after service to cure or the LLC is administratively dissolved. Reinstatement is available within two years.
