When it’s due
Each domestic/foreign LLC must file its annual report between February 1 and May 1 each year following the calendar year in which it was formed/registered. (R.I. Gen. Laws §7-16-66(a))

What happens if you miss it
A $25 late penalty applies per year if the report is not filed within 30 days after the May 1 deadline (on top of the $50 base filing fee). (R.I. Gen. Laws §7-16-66(d))
What eventually happens if it stays unfiled: The Secretary of State may revoke the LLC’s certificate of organization for failing to file its annual report, after giving at least 60 days’ written notice to the resident agent specifying the basis for revocation. (R.I. Gen. Laws §7-16-41(a)(3), (b)(1)) “The certificate of organization or certificate of registration of a limited liability company may be revoked by the secretary of state under the conditions prescribed in this section when it is established that: … The limited liability company has failed to file its annual report within the time required by this chapter … The secretary of state shall have given the limited liability company notice thereof not less than sixty (60) days prior to such revocation”
