Updated September 4, 2026. Quick answer: Massachusetts requires a annual report; Annually on the LLC’s formation anniversary date (the anniversary of filing the original certificate of organization), not a fixed calendar date.
If you’d rather not track this yourself
Bizee’s registered-agent and compliance service includes a due-date reminder and a filing option for Massachusetts’s report. State filing fees are separate.
Bizee’s BBB rating, verified directly against BBB’s own listing on September 2, 2026: a C, not accredited. BBB’s own finding: the business “has failed to resolve underlying cause(s) of a pattern of complaints,” with 83 complaints filed. Most complaints we found described difficulty canceling recurring services and strict refund policies, worth knowing before you hand over a card for the year-two renewal. Check BBB’s current listing yourself before you buy; a rating we didn’t just verify is worse than none.

Whether Massachusetts requires one, and how often
Massachusetts requires LLCs to file an annual report every year. $500 per year, a flat fee set by statute with no reduced rate for electronic filing.
When it’s due
Annually on the LLC’s formation anniversary date (the anniversary of filing the original certificate of organization), not a fixed calendar date. (M.G.L. c.156C §12)
What it costs
$500 per year. M.G.L. c.156C §12(d): “The fee for the filing of the annual report required by subsection (c) shall be five hundred dollars.” The statute sets no reduced electronic-filing rate, and we do not publish a discount we cannot cite.
What happens if you miss it
No separate late fee stated in the statute or fee schedule. (M.G.L. c.156C §12)
What eventually happens if it stays unfiled: Administrative dissolution after 2 consecutive years of failing to file annual reports, following written notice to the registered office and a 90-day cure period. (M.G.L. c.156C §70) “the limited liability company has failed for 2 consecutive years to comply with the laws requiring the filing of annual reports”

What this page does not answer
State income tax, franchise tax and federal (IRS) filing obligations are separate from this report and follow their own deadlines and rules. This page does not source those. We have the state periodic-report answer at primary and nothing else.
The annual/biennial report fee above is a recurring cost of keeping the LLC active, separate from what it cost to form. See what an LLC costs in Massachusetts for the full cost picture.
