What eventually happens if it stays unfiled: Failure to file the annual report is a statutory ground for administrative dissolution (805 ILCS 180/35-25(1)); after the Secretary of State mails a notice of delinquency, the LLC has 120 days to cure or the Secretary issues a certificate of dissolution.
