What happens if you miss it
No late fee found, confirmed absence in both the annual-report statute and the fee-schedule statute; consequence is administrative dissolution instead. (Idaho Code §30-21-213 / §30-21-214)
What eventually happens if it stays unfiled: Failure to timely deliver the report is grounds for administrative dissolution; SOS must serve written notice, entity has 60 days after service to cure, then SOS administratively dissolves. Reinstatement may be sought within 10 years. (Idaho Code §30-21-601 / §30-21-602 / §30-21-603) “not later than sixty (60) days after service of the notice… the secretary of state shall administratively dissolve”
