Updated September 4, 2026. Quick answer: Delaware requires no periodic report for LLCs at all. none, Delaware LLCs file no annual report, but pay a $400/year alternative entity tax instead.
Whether Delaware requires one, and how often
Delaware does not require LLCs to file a periodic report with the Secretary of State at all. none, Delaware LLCs file no annual report, but pay a $400/year alternative entity tax instead. That is not the same as owing nothing every year; read the next section before assuming there is no recurring filing.
When it’s due
No annual report; the $400/year LLC alternative entity tax is due June 1 each year. (6 Del. C. §18-1107)
What it costs
none, Delaware LLCs file no annual report, but pay a $400/year alternative entity tax instead.
What happens if you miss it
$200 flat penalty, plus 1.5% per month interest on the unpaid tax and penalty. (6 Del. C. §18-1107)
What eventually happens if it stays unfiled: Certificate of formation is automatically canceled if the annual tax remains unpaid for 3 years from its due date, effective on the third anniversary of that due date. (6 Del. C. §18-1108(a)) “canceled if the annual tax due… is not paid for a period of 3 years from the date it is due”
Where to file

If you’d rather not be your own registered agent
There is no periodic report to file in Delaware, so a report-filing service has nothing to do for you on this page. The Bizee product that fits here is registered-agent service, at $149 a year on its own, or free for the first year if you form an LLC through them (Bizee’s own pricing page, read September 7, 2026). What Delaware asks of an agent is covered on Delaware’s registered agent requirements.
Bizee’s BBB rating, verified directly against BBB’s own listing on September 2, 2026: a C, not accredited. BBB’s own finding: the business “has failed to resolve underlying cause(s) of a pattern of complaints”, with 83 complaints filed. Most complaints we found described difficulty canceling recurring services and strict refund policies, worth knowing before you hand over a card for the year-two renewal. Check BBB’s current listing yourself before you buy; a rating we didn’t just verify is worse than none.

What this page does not answer
State income tax, franchise tax and federal (IRS) filing obligations are separate from this report and follow their own deadlines and rules. This page does not source those. We have the state periodic-report answer at primary and nothing else.
The annual/biennial report fee above is a recurring cost of keeping the LLC active, separate from what it cost to form. See what an LLC costs in Delaware for the full cost picture.
