Whether Arkansas requires one, and how often

Arkansas requires LLCs to file an annual report every year. no separate report fee, the annual filing IS the franchise tax report.

When it’s due

On or before May 1 each year. The Secretary of State’s own 2026 Annual LLC Franchise Tax Report form says so on its face: “Reports and taxes are due on or before May 1, 2026. Penalty and interest will be due for reports if the United States Postal Service’s postmark is after the deadline.”

What it costs

$150.00 a year. There is no separate report fee: the annual filing is the franchise tax report, and the Secretary of State’s own 2026 Annual LLC Franchise Tax Report form states “ALL LIMITED LIABILITY COMPANIES PAY $150.00” above a “TOTAL DUE $150.00” line, with the instructions adding that “If this report is timely filed, all limited liability companies are liable for only the $150.00 payment” (source, read 2026-09-06). The separate LLC filing-fee schedule covers formation and amendment filings, not this report.

What happens if you miss it

A $25.00 late filing penalty, plus interest. The Secretary of State’s 2026 Annual LLC Franchise Tax Report form carries the deadline (“Due on or before May 1, 2026 – Penalty and interest due after May 1, 2026”) and the arithmetic on the same sheet: “B. Late Filing Penalty + $25.00”, then “C. Tax and Penalty total”, then “D. Interest: (C) x .000274 x (# of Days Deficient)”. That daily factor works out to 10% a year on the tax and penalty combined.

What eventually happens if it stays unfiled: Secretary of State mails a delinquency notice by Nov 1, then proclaims revocation of charter/authority for entities delinquent in franchise tax for a prior year, on or before Jan 31 of the following year. (Ark. Code §26-54-111)
