Updated October 18, 2026. Quick answer: Question 4 asks whether the partnership meets four conditions about size, filing of Schedules K-1 and Schedule M-3. A “Yes” answer means the partnership does not complete Schedules L, M-1 and M-2. Question 5 asks whether the partnership is a publicly traded partnership. Both answers come from the partnership’s totals and its filing facts for the year.
Question 4: the four conditions
The form asks “Does the partnership satisfy all four of the following conditions?” They are listed as a, b, c and d. First, “The partnership’s total receipts for the tax year were less than $250,000.” Second, “The partnership’s total assets at the end of the tax year were less than $1 million.” Third, “Schedules K-1 are filed with the return and furnished to the partners on or before the due date (including extensions) for the partnership return.” Fourth, “The partnership is not filing and is not required to file Schedule M-3”.
The instructions say “Answer “Yes” if the partnership meets all four of the requirements shown on the form.”
How total receipts and total assets are defined
The instructions define the first term this way: “”Total receipts” is defined as the sum of gross receipts or sales (page 1, line 1a); all other income (page 1, lines 4 through 7);” and then “income reported on Schedule K, lines 3a, 5, 6a, and 7; income or net gain reported on Schedule K, lines 8, 9a, 10, and 11; and income or net gain reported on Form 8825, lines 2, 21, and 22a.” For assets: “”Total assets” is defined as the amount that would be reported in item F on page 1 of Form 1065.” The page 1 income lines are on the lines 1a to 3 and lines 4 to 8 pages.
What a Yes answer does
The form states the consequence under the four conditions: “If “Yes,” the partnership is not required to complete Schedules L, M-1, and M-2; item F on page 1 of Form 1065; or item L on Schedule K-1.” The skipped schedules are covered on their own pages: Schedule L.
Question 5: publicly traded partnership
The form asks “Is this partnership a publicly traded partnership, as defined in section 469(k)(2)?” The instructions say “Answer “Yes” if interests in the partnership are traded on an established securities market or are readily tradable on a secondary market (or its substantial equivalent).” The instructions have no separate worksheet or further paragraph for question 5 beyond that sentence.
Where the number comes from
Question 4 uses totals the partnership already has: gross receipts and other income from page 1, the Schedule K income items the instructions list, the Form 8825 lines, and the asset total that would appear in item F. The Schedule K-1 and Schedule M-3 conditions are facts about how the return is being filed. Question 5 is a factual yes or no about how interests trade. The questions before these are on the Schedule B questions 1 to 3 page.
Where it goes next
If question 4 is answered “Yes,” the form’s own sentence above controls which schedules and items are left off. After question 5 the form moves to the reportable transaction, foreign account and basis adjustment questions on the Schedule B questions 7 to 12 page. Timing of the return and the K-1s is at the due date page. This page is part of the Form 1065 line-by-line walk-through.
Edition and line numbers
This page reads the 2025 Form 1065, U.S. Return of Partnership Income, and its 2025 instructions, the current files irs.gov served on 2026-10-18. They are the files for the tax year 2025 return, filed in 2026. The form’s title line reads “U.S. Return of Partnership Income” and the period line reads “For calendar year 2025, or tax year beginning”. Check the tax year printed on the form you are filling in and use the line numbers on that year’s form, because a different year’s form can number or word its lines differently.
Common mistakes
- Answering “Yes” with only two of the conditions met. The instructions say “Answer “Yes” if the partnership meets all four of the requirements shown on the form.”
- Counting only line 1a as total receipts. The instructions say “”Total receipts” is defined as the sum of gross receipts or sales (page 1, line 1a); all other income (page 1, lines 4 through 7);”
- Forgetting the Schedule K-1 timing condition. The form requires “Schedules K-1 are filed with the return and furnished to the partners on or before the due date (including extensions)”
