1) Fiduciary Duty & Standard of Care
Adviser affirms fiduciary duty at all times (not only “when providing advisory services”).
Duty to put client first + disclose & mitigate conflicts (referenced to Form ADV).
Written Code of Ethics / fiduciary policy provided or linked.
Firm’s Form ADV (Parts 2A/2B) or SEC/IAPD link included.
Contract permits commissioned product sales / dual-registration without clear fiduciary scopePotential conflict
2) Scope & Deliverables
Specific services & deliverables listed (planning topics, rebalancing, tax guidance, meeting cadence).
Discretion/non-discretion status & trading authority spelled out; how changes are documented.

Fee schedule in dollars (AUM % with tier table + effective %, or fixed/retainer/hourly amounts).
Billing frequency & method (advance/arrears), pro-rata refund on termination.

Privacy policy & data handling described (sharing with vendors, retention).
Client portal access; two-factor auth recommended or required.
7) Disputes, Arbitration & Liability
E&O insurance carried; limits disclosed on request.
Mandatory arbitration in distant venue or one-sided fee shifting Red flag
