Section 17-29-113 (LLCs must maintain a registered office/agent per Sections 17-28-101-111), Section 17-28-101 (agent eligibility and physical-location requirement), Section 17-28-103 (resignation and replacement), Section 17-29-705 (administrative forfeiture of articles; 60-day cure after notice of no registered agent). Wyoming’s $5 change-of-agent fee is among the cheapest in the country, but the penalty for going without an agent is comparatively steep and specifically priced; $350 to reinstate an LLC forfeited for lacking a registered agent, versus $100 for an ordinary tax-related reinstatement; and Wyoming is unusual in requiring the agent to be physically present at the registered office address, not merely reachable there.
What the address rule requires
The registered office ‘must be located at a street address in Wyoming which shall be a physical location where the business entity’s registered agent…can accept service of process…and is physically present at that location’: Wyoming requires actual physical presence, not merely a mailing address.
Who can serve as your registered agent
An individual at least 18 years old who resides in Wyoming and whose business office is the registered office; a domestic business entity with a written agency agreement; a qualified foreign business entity with a written agency agreement; or a commercial registered agent (one serving 10+ entities) registered under Section 17-28-105. No series of a series LLC may itself serve as registered agent.
What happens if you don’t have one
If the registered agent resigns and is not replaced, or the LLC otherwise lacks a registered office/agent, the entity becomes ‘delinquent awaiting administrative dissolution, revocation or forfeiture’ (Section 17-28-103); the Secretary of State mails notice, and the LLC has 60 days to cure before being ‘deemed defunct’ and forfeiting its articles of organization (Section 17-29-705). Going without a registered agent is termed ‘administrative forfeiture,’ not just dissolution: the LLC is deemed to be ‘transacting business…without authority’ and, after a 60-day cure notice goes unanswered, ‘deemed defunct’ and to have forfeited its articles of organization (Section 17-29-705). It can still be revived within 2 years by filing for reinstatement and paying the reinstatement fee plus penalty.
How to change your registered agent
