Mississippi Registered Agent Requirements for an LLC

Quick answer: In Mississippi, this role is called a registered agent, governed by Mississippi’s LLC registered-agent rules, as stated on the Mississippi Secretary of State’s own Registered Agents page. Mississippi is the only one of the states compared here with a formally two-tiered agent system in its own statute name; a separately state-registered, $100-fee ‘Commercial Registered Agent’ category alongside an unregistered ‘Noncommercial’ one.

What the address rule requires

Mississippi’s own Secretary of State page states directly: “Any individual, corporation or LLC may act as registered agent for any Mississippi company provided the agent has a physical address in the state of Mississippi.”

Who can serve as your registered agent

An individual Mississippi resident, a domestic corporation, nonprofit, or LLC, or a foreign corporation, nonprofit, or LLC authorized to transact business in Mississippi. Mississippi formally distinguishes Commercial Registered Agents, who must register with the state for a $100 fee, from Noncommercial Registered Agents, who need not separately register and are not listed publicly.

What happens if you don’t have one

A resigning agent must give 30 days’ notice, with resignation effective on the earlier of the 31st day after filing or a successor’s appointment. If the LLC then fails to designate a new agent, service defaults to the Secretary of State; separately, if the LLC’s governors cannot be served either, service also falls to the Secretary of State. The Secretary of State may begin administrative dissolution if the LLC is without a registered agent for 60 or more days, or fails to notify the state within 60 days of an agent change or resignation.
