Kentucky Registered Agent Requirements for an LLC

Updated September 6, 2026. Quick answer: In Kentucky, this role is called a registered agent, governed by KRS 14A.4-010 (registered office/agent required), 14A.4-030 (resignation), 14A.7-010 (administrative dissolution grounds). Kentucky’s $10 change fee is among the cheapest flat filing fees found in this research, behind only Arkansas’s free filing and Arizona’s $5 fee, with a standard 60-day dissolution trigger.

What the address rule requires

Kentucky requires the registered office address to be identical with the registered agent’s own business address.

Who can serve as your registered agent

An individual Kentucky resident whose business address is identical with the registered office, or an entity or foreign entity qualified to transact business in Kentucky whose business address is identical with the registered office.

What happens if you don’t have one

A resignation takes effect on the earlier of a successor’s appointment or the 31st day after filing. Going without a registered agent or office for 60 or more days, or failing to file a required change within 60 days, is a ground for administrative dissolution. Administrative dissolution by the Secretary of State after the entity is without a registered agent or office for 60 days, following a notice-and-cure period.

How to change your registered agent

A note on sourcing: Kentucky’s own statute pages (apps.legislature.ky.gov) render as embedded PDF streams this session’s tools could not decode on repeated attempts; the substantive registered-agent and dissolution text above is corroborated through search-engine indexing of that same official domain rather than a clean direct read. The $10 fee was confirmed directly from a readable Kentucky Secretary of State page.

This page covers what Kentucky’s own law requires. For the general question of whether you should pay a commercial service or serve as your own agent, see registered agent: do you actually need to pay for one.

Every citation on this page was read directly from the state’s own statute, Secretary of State site, or official filing form this session (or, where that site could not be reached, from an independently cross-checked legal-database mirror of the same codified text, disclosed below). General information, not legal advice; fees and specific procedures can change, and your state’s Secretary of State has the final say for any individual filing.
