What happens if you miss it
Washington does not charge a fixed dollar late fee at the due date itself; a missed report instead puts the entity into delinquent status, with 120 days from the due date before administrative dissolution grounds accrue. The Secretary of State’s own fee schedule lists a $95 fee for a delinquent annual report, a $25 delinquency add-on over the normal $70 fee. (RCW 23.95.605(2); WA SOS fee schedule)
What eventually happens if it stays unfiled: The Secretary of State may commence administrative dissolution once an annual report is not delivered within 120 days after it is due. The entity is first served notice and has 60 days after service to cure the deficiency or show the ground doesn’t exist; otherwise the Secretary of State files a statement of administrative dissolution. Reinstatement is available within 5 years. (RCW 23.95.605 (Grounds); RCW 23.95.610 (Procedure and effect)) “The secretary of state may commence a proceeding under RCW 23.95.610 to dissolve a domestic entity administratively if: … (2) The entity does not deliver an annual report to the secretary of state not later than one hundred twenty days after it is due… If a domestic entity, not later than sixty days after service of the notice required by subsection (1) of this section, does not cure or demonstrate to the satisfaction of the secretary of state the nonexistence of each ground determined by the secretary of state, the secretary of state shall administratively dissolve the entity.”
