What happens if you miss it
No separate dollar late fee is imposed on domestic LLCs; the consequence is loss of good-standing status if not filed/paid within 60 days after the due date (the entity then cannot get certificates of good standing, maintain court actions, etc. until reinstated). (Oklahoma Statutes Title 18, §18-2055.2(D))
What eventually happens if it stays unfiled: If the annual certificate/fee (or registered agent fee) remains unpaid for 3 full years from the due date, the articles of organization are deemed canceled, effective on the third anniversary of the due date. (Oklahoma Statutes Title 18, §18-2012.1(B)) “The articles of organization of a domestic limited liability company shall be deemed to be canceled if the domestic limited liability company fails to file the annual certificate and pay the annual fee … within three (3) years from the date the certificate or fee is due, the cancellation to be effective on the third anniversary of the due date.”
