What happens if you miss it

A $50 late fee applies (in addition to the $50 base annual-report fee) once the report is filed after the November 15 deadline. (N.D. Cent. Code §10-32.1-92(25)(a)(1))

What eventually happens if it stays unfiled: An LLC that has not filed its annual report and paid the associated fees within six months after the due date ceases to exist by operation of law (involuntary termination), no separate hearing required; it then has one year from that termination to reinstate. (N.D. Cent. Code §10-32.1-90(1)(b)) “A limited liability company that fails to file its annual report, together with the fees provided in section 10-32.1-92, within six months after the date established in subsection 3 of section 10-32.1-89 ceases to exist and is considered involuntarily terminated by operation of law.”
