Indiana LLC Annual Report

Updated September 4, 2026. Quick answer: Indiana requires a biennial report; Business Entity Report filed every other year (biennial); first report due two years after formation, by the end of the anniversary month.

If you’d rather not track this yourself

Bizee’s registered-agent and compliance service includes a due-date reminder and a filing option for Indiana’s report. State filing fees are separate.

Bizee’s BBB rating, verified directly against BBB’s own listing on September 2, 2026: a C, not accredited. BBB’s own finding: the business “has failed to resolve underlying cause(s) of a pattern of complaints,” with 83 complaints filed. Most complaints we found described difficulty canceling recurring services and strict refund policies, worth knowing before you hand over a card for the year-two renewal. Check BBB’s current listing yourself before you buy; a rating we didn’t just verify is worse than none.

We earn a commission if you purchase through this link, between $20 and $175 depending on which service you buy, disclosed here rather than left vague. This does not change the price you pay. We are not a law firm and this is not legal advice. Affiliate Disclosure.

What happens if you miss it

No late fee found, INBiz states only that a missed deadline leads to administrative dissolution/revocation, not a monetary penalty.

What eventually happens if it stays unfiled: Dissolution/revocation is triggered by failure to file the Business Entity Report or maintain a registered agent; once dissolved, the business name is protected for only 120 days. The commonly-cited ’60 days after due’ figure and its statute citation (IC 23-0.5-6-2) could not be confirmed against primary Indiana Code text this session (iga.in.gov serves no statutory text to automated retrieval), reported as UNVERIFIED, not fact. “Businesses that fail to pay their Business Entity Report or maintain a registered agent will be administratively dissolved/revoked. These names are only protected for 120 days after being administratively dissolved or revoked.”

What this page does not answer

State income tax, franchise tax and federal (IRS) filing obligations are separate from this report and follow their own deadlines and rules. This page does not source those. We have the state periodic-report answer at primary and nothing else.

The annual/biennial report fee above is a recurring cost of keeping the LLC active, separate from what it cost to form. See what an LLC costs in Indiana for the full cost picture.
