Updated August 10, 2026. Quick answer. Forming an LLC in Vermont costs $155 to file, and an ongoing report requirement ($45 (domestic); $170 (foreign)). Five-year total: $1,630 over five years, every component verified.

What it actually costs

ItemAmount
Formation filing fee$155
Annual/biennial report$45 (domestic); $170 (foreign)
Franchise / minimum tax$250 minimum annual business entity income tax
Publication requirementNo newspaper publication requirement was found.

Five-year cost of ownership: $1,630 over five years, every component verified. Publication cost is excluded from this figure — it’s county-driven where it applies, not state-driven, so a single number would be wrong for most filers.

The trap worth knowing before you file

Fees taken from the statutory fee table itself, and independently matched against the Vermont SOS fee schedule at https://sos.vermont.gov/business-services/fees-statutes — no disagreement between statute and agency schedule. If the LLC already exists somewhere else

Everything above prices forming a new Vermont LLC. A company that already exists in another state does not have to be dissolved and re-formed: Vermont takes it in as the same legal entity by the route its own code captions domestication, 11 V.S.A. § 4152(a), and the entity-law filing fee for it is $20 — a separate filing from the formation costs above. Going the other way, a Vermont LLC may leave for another US state under 11 V.S.A. § 4152(b). Either way the move needs both ends to allow it — the state being left as well as the state being joined — which is where most published advice goes wrong.

What letting it lapse costs in Vermont. The catch-up bill is only half the story — in Vermont termination reads as automatic on the text, reinstatement is just as automatic — and both the report fee and the reinstatement fee are owed for every lapsed year. The figures, and the statute they come from, are on reinstating a Vermont LLC.
