What it actually costs

ItemAmount
Formation filing fee$59
Annual/biennial report$18
Franchise / minimum tax$0 for an LLC taxed as a partnership; $100 minimum if the LLC is taxed as a C corporation
Publication requirementNo newspaper publication requirement was found.

Five-year cost of ownership: $149 over five years, every component verified. Publication cost is excluded from this figure — it’s county-driven where it applies, not state-driven, so a single number would be wrong for most filers.

Expedited filing: $75 per filing

The trap worth knowing before you file

Access note: corporations.utah.gov/business-entities/fee-schedule/ 301-redirects to commerce.utah.gov/corporations/business-entities/fee-schedule/, which returns 404; the live schedule is the PDF linked as ‘Fee Schedule’ from https://commerce.utah.gov/corporations/, read directly. le.utah.gov HTML section pages serve navigation chrome only (confirmed again this run on 48-3a-S212.html); the per-section PDF at https://le.utah.gov/xcode/Title48/Chapter3a/C48-3a-S212_1800010118000101.pdf does return the statute and parsed cleanly. If the LLC already exists somewhere else

Everything above prices forming a new Utah LLC. A company that already exists in another state does not have to be dissolved and re-formed: Utah takes it in as the same legal entity by the route its own code captions domestication, Utah Code § 48-3a-1051(2), and the entity-law filing fee for it is $17 — a separate filing from the formation costs above. Going the other way, a Utah LLC may leave for another US state under Utah Code § 48-3a-1051(1). Either way the move needs both ends to allow it — the state being left as well as the state being joined — which is where most published advice goes wrong.

What letting it lapse costs in Utah. The catch-up bill is only half the story — in Utah no deadline since the 2024 amendment, but the company’s own name is only guaranteed for five years afterwards. The figures, and the statute they come from, are on reinstating a Utah LLC.

Moving an LLC you already own is a different question from what it costs to form a new one here: Utah’s statute calls the mechanism domestication, at Utah Code § 48-3a-1051(2). See how to move an LLC to Utah.
