Updated August 10, 2026. Quick answer. Forming an LLC in Indiana costs $100 by paper; online fee via INBiz not verified to file, and an ongoing report requirement ($50 by paper, filed BIENNIALLY (online fee not verified)). Five-year total: At least $250 over five years — one or more components (commonly the franchise/minimum tax) is unverified, so treat this as a floor, not a total.
What it actually costs
| Item | Amount |
|---|---|
| Formation filing fee | $100 by paper; online fee via INBiz not verified |
| Annual/biennial report | $50 by paper, filed BIENNIALLY (online fee not verified) |
| Franchise / minimum tax | none found in the sources searched |
| Publication requirement | No newspaper publication requirement was found. |
Five-year cost of ownership: At least $250 over five years — one or more components (commonly the franchise/minimum tax) is unverified, so treat this as a floor, not a total. Publication cost is excluded from this figure — it’s county-driven where it applies, not state-driven, so a single number would be wrong for most filers.
The trap worth knowing before you file
OFFICIAL-SITE FAILURE RECORDED: the Indiana General Assembly site serves no statute text. https://iga.in.gov/laws/2025/ic/titles/23/articles/0.5/chapters/9 returned HTTP 200 with a 691-byte empty application shell, and https://iga.in.gov/laws/2025/ic/titles/23 likewise. Verbatim mirrors were also unreachable: law.justia.com HTTP 403, codes.findlaw.com HTTP 403, casetext.com HTTP 410, indiana.public.law does not resolve. If the LLC already exists somewhere else
Everything above prices forming a new Indiana LLC. A company that already exists in another state does not have to be dissolved and re-formed: Indiana takes it in as the same legal entity by the route its own code captions domestication, Ind. Code § 23-0.6-5-1(b), and the entity-law filing fee for it is $30 — a separate filing from the formation costs above. Going the other way, an Indiana LLC may leave for another US state under Ind. Code § 23-0.6-5-1(a). Either way the move needs both ends to allow it — the state being left as well as the state being joined — which is where most published advice goes wrong.
